What is transactional liability insurance, and who can it help?

There are three main types of Transactional Liability insurance: Representations and Warranties Insurance, Tax Insurance, and Contingent Risk Insurance.

The term “transactional” implies that this insurance is for deal parties in mergers and acquisitions (“M&A”) transactions, and that’s true. But it also helps investors in legal assets, companies facing legal liabilities, and taxpayers taking positions that lack certainty. What does each type of transactional liability insurance do?

Representation & Warranty Insurance (RWI): Protects buyers from financial losses due to breaches of representations and warranties made by the seller during the transaction.

Tax Insurance: Covers the economic risk of a tax loss arising from a taxing authority’s challenge to a tax position, either in the M&A context or in the ordinary course of business.

Contingent Risk Insurance: Addresses various litigation, regulatory, and successor liability issues that may arise during a transaction, or locks in the value of a portfolio of litigation or IP assets.
